Harold N. Kamine – Chief Executive Officer

Hal's successful background in the power business through KDC coupled with a strong entrepreneurial spirit helped bridge his vision both in the independent power industry and the telecommunications industry. In the late 1990s he created a telecom company (KMC Telecom) that brought state of the art fiber optic communication technology to underserved markets and cities in the United States. Hal’s efforts are now in the renewable energy arena with an emphasis on solar energy.

As CEO and owner of KDC, Hal developed, built, and owned seven unregulated non-utility power generation projects located in New York and New Jersey between 1980 and 2000. These projects totaled 600 megawatts and had a capital investment of more than $800 million. Hal pioneered the independent power business from its inception in the early 1980s until 1998. By 1998, he was among industry leaders who negotiated a settlement with Niagara Mohawk which resulted in the sale of all of KDC's New York State power projects, which at the time was the largest voluntary utility/independent power producer restructuring in the United States.

Since Hal was deeply involved in the deregulation of the electric as well as the natural gas industries, he envisioned the deregulation of the telecommunications industry. With that vision he formed KMC Telecom in 1995 which began emerging as a CLEC prior to the Telecom Act of 1996. The passage of this law opened an even greater opportunity for Hal's vision of a unique telecom company that customized services to its customers to be realized through an open and competitive marketplace. KMC Telecom eventually deployed over $2 billion in capital, had over 1,500 employees and revenues of approximately $600 million per year. KMC Telecom became one of the country's largest independent CLECs prior to its sale in 2005.

In 2007, Hal began seeing the same opportunity in the renewable energy area that he saw in the independent power business, and brought back much of the original KDC management along with his son, Matthew, a recent Lafayette engineering graduate, to pursue this new venture.

Hal graduated summa cum laude from Lafayette College with a Bachelor of Science degree in Mechanical Engineering as well as being a first team Division I Academic All-American Baseball Player. He is a Register Professional Engineer in the State of New Jersey. Hal remains actively involved in Lafayette College, and is also involved with other charitable organizations.

Alan M. Epstein – President

Alan Epstein has worked with Hal Kamine for over 25 years in the energy and telecom businesses. Until accepting the position of President at KDC Solar, Alan was a partner in the New York office of Sidley Austin LLP. He has advised clients in financing and structuring more than $15 billion of energy, telecommunications, alternative and renewable energy, and infrastructure projects in the United States and abroad. In the energy area, Alan has represented clients in power generation projects including cogeneration facilities, coal-fired, gas-fired, biomass, wind, solar, and waste-to-energy facilities, LNG and pipeline projects, biodiesel projects, and transmission lines.

In addition to working with energy and telecom companies for Hal Kamine, Alan represented a variety of clients including GE Energy Financial Services, CIT, GE Commercial Aircraft Services, AIG Highstar, SNC Lavalin, TransCanada Pipelines, Caisse de Depot, US Eximbank, Mission Energy, Cogentrix, and the City of San Juan.

Alan has a Juris Doctor degree from Syracuse University College of Law and a Bachelor of Arts degree in Political Science from Long Island University, where he received a scholarship and was captain of the swimming team.

Thomas P. Lynch - Executive Vice President

Tom Lynch joined KDC Solar in 2010 as Executive Vice President. Tom has over 20 years of power investment banking experience at Salomon Brothers, Goldman Sachs, and Deutsche Bank.

Tom’s experience includes over $40 billion of financing, IPOs, commodity linked transactions, and a number of merger and acquisition transactions. His list of clients included Calpine Corp, NRG Energy, PPL Corp, Constellation Energy, Covanta Energy, RRI Energy, LS Power, Energy Capital Partners, and many others. While at Salomon Brothers, Tom acted as financial advisor and placement agent to Kamine Development Corp. on the financing of its New York State cogeneration portfolio. Prior to working on Wall Street, Tom worked at AT&T Capital and Westinghouse Financial Services with a focus on the acquisition of limited partnership interests in the unregulated power sector and leverage lease interests in the aircraft sector.

Tom has a Bachelor of Science degree in Accounting from University of Scranton and a Master’s in Business Administration with a concentration in Finance from Southern New Hampshire University. Tom serves as Vice Chairman of Scranton’s President’s Business Council, and is a past Captain of the Far-Hills Bedminster Fire Department.

Bruce D. Haislip - Chief Financial Officer

Bruce Haislip joined Kamine Development Corp. as CFO in 2007. Bruce has more than 25 years of diversified experience at a number of medium-sized companies principally in the technology sector. Prior to joining KDC, he served as CFO at Taratec Development Corp. for five years, exiting after the successful sale of the company to Patni Computer Systems. Prior to that, he served as CFO for four New Jersey-based hardware and software companies, including Princeton Softech, which he co-founded in 1991. He has extensive experience in mergers and acquisitions.

Bruce holds a Bachelor of the Arts degree in Economics with High Distinction from Rutgers College and a Master’s in Business Administration in Finance from Fairleigh Dickinson University. He is a former member of the Board of Directors of the New Jersey Technology Council where he was also the co-chair of the CFO Advisory Board. He currently serves on the boards of several venture capital backed companies.

Andy M. D’Amico - Senior Vice President

Andy D’Amico rejoined with Hal Kamine at KDC Solar as a Senior Vice President. Andy, who has over 40 years of experience in the conventional power market, is the founder and co-owner of Reunion Power LLC, which was established in 2000 to respond to the emerging renewable energy market and the ongoing conventional power market. He has worked in the power generation business his entire career with multiple sources of fuel including hydro, nuclear, gas, biomass, wind power, and solar. He is also experienced in power project engineering, project development, construction, and project operations.

From 1997 to 2000, prior to founding Reunion Power, Andy was President of Kamine International Power Corp. and led day-to-day activities at KDC as its Executive Vice President and General Manager. Before working with the Kamine companies, Andy held engineering and management positions for international engineering and construction companies such as Ebasco Services Inc., Burns and Roe, Sanderson & Porter, CEA, and Thyssen Environmental Industries.

Andy holds a Bachelor of Science degree in Mechanical Engineering from Villanova University and a Master’s in Business Administration in Management from Manhattan College.

Sebastian M. Marano – Senior Vice President of Engineering

Seb Marano rejoined Hal Kamine as Senior Vice President of Engineering in 2007. Seb has over 40 years of diversified experience in the design, engineering, and construction of power generating facilities, including a nine year engagement with KDC implementing six power generation facilities in New York.

Throughout Seb’s career, he has had roles that required managing engineering activities, interfacing with contractors, frequent site visits to monitor installation and schedule per contract requirements, review of contracts and purchase orders, insuring compliance with environmental regulations, and preparation of periodic reports to senior management. He has worked on a wide variety of projects both domestically and internationally; both his engineering and his project management roles included handling significant conventional fossil-fueled, nuclear, cogeneration/combined cycle, biomass, and environmental plants, as well as a number of miscellaneous projects all with significant budgets.

Seb holds a Bachelor of Science degree in Mechanical Engineering from Manhattan College and a Master’s in Business Administration from Iona College, having graduated with Honors from both institutions.

Mark F. Slifkin – Senior Vice President of Operations

Mark Slifkin became Vice President of Operations for KDC in 1989. He retired in 2000 and returned to KDC Solar as Senior Vice President of Operations.

Prior to joining KDC, Mark worked at Corning Glass Works for twenty years in the electronic products and materials businesses. Mark continued in the materials business for six years at Heraeus Amersil as Vice President of Sales & Marketing and as Vice President and General Manager of the Semiconductor Products Division.

Mark has a Bachelor of Science degree in Electrical Engineering from New Jersey Institute of Technology and has attended advanced corporate programs at Harvard University and Columbia University in marketing and business management.

Frank V. Cielo - Vice President Engineering

Frank Cielo joined KDC Solar as Vice President Engineering in 2011. Frank has over 30 years of experience in leading the development and execution of large complex power generation and environmental remediation projects.

Prior to joining KDC Solar, Frank held a number of diverse and increasingly more responsible positions with the Public Service Enterprise Group (PSEG), including Director of Power Projects and General Manager Site Remediation.

Frank holds a Bachelor of Science degree from the New Jersey Institute of Technology as well as several executive development programs including The Executive Program (TEP) from the Darden Graduate School of Business Administration at the University of Virginia. Frank also holds a Project Management Professional (PMP) certification from the Project Management Institute (PMI).

David N. Pannullo - Vice President of Finance

David Pannullo joined KDC Solar in 2010 as Vice President of Finance. David has over 20 years of experience in corporate finance and middle-market banking including the communications, information and technology services, and financial services sectors.

Most recently, David was a director and middle-market banker at CIT Group focusing on senior secured debt transactions. Prior to CIT Group, he was the Director of Strategic Planning at KMC Telecom. Previously, he held senior financial positions at Prudential Financial and SunAlliance Group USA.

David has a Bachelor of Science in Finance from Marist College. He is actively involved in Bedminster Township sports programs as well as the United States Over Thirty Baseball league.

Matthew E. Kamine - Director

Matt joined KDC Solar as Director. He is experienced in day-to-day operations for renewable energy development projects. Since joining KDC, Matthew has facilitated a streamlined approach to project delivery founded on coordination and communication. Matthew is integrally involved project economic, pre-construction services and customer relations for KDC Solar.

Matt graduated with a Bachelor of Arts degree in Engineering with a minor in Business from Lafayette College in 2007. While attending Lafayette, he was a four year letter winner and captain of the baseball team in his senior year. He was a first team All-league player his junior and senior seasons, and a first team Jewish All-American his senior year. In 2009, Matt played professional baseball before injuring himself and returning to KDC Solar.
